Terms of Service

1. Agreement & Eligibility

You must be able to form a binding contract under applicable law to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

The Services are not directed to children under 13 (or the minimum age in your jurisdiction). You must not use the Services if you are under that age.

These Terms are available at https://traceg.com/legal/terms-of-services. Our Privacy Policy at https://traceg.com/legal/privacy-policy explains how we handle personal information and is incorporated by reference.

2. The Services

TraceGuidance provides specialized training tools for shooting sports, including (depending on the App):

• Steady — haptic coaching and composure guidance
• Wrist — hold stability scoring and visualization
• Recoil — shot timing, splits, and stage performance

Each App is an independent product. Features may work offline on Apple Watch and sync or review on iPhone when available. Features require compatible Apple hardware and software and may need system permissions (motion, health/fitness, etc.).

Not medical or safety advice. The Services are training aids only. They are not medical devices and do not provide medical, legal, or firearms-safety advice. Always follow range rules, applicable law, and safe firearm handling practices. Do not use the Apps in any way that distracts you from safe handling of a firearm.

3. Apple App Store License (Licensed Application End User License)

If you download an App from the Apple App Store, the following terms apply in addition to these Terms and are intended to satisfy Apple’s standard Licensed Application End User License Agreement requirements:

• License scope. Subject to your compliance with these Terms, TraceGuidance grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App on Apple-branded products that you own or control, and as permitted by the App Store Usage Rules set forth in the Apple Media Services Terms and Conditions (or successor terms).
• Restrictions. You may not copy (except as permitted by the Usage Rules), reverse-engineer (except to the extent allowed by law), distribute, rent, lease, lend, sell, sublicense, or modify the App, or remove proprietary notices.
• Updates. We may provide updates, upgrades, or patches. Some updates may be required to continue using the App.
• Apple not a party to these Terms. These Terms are between you and TraceGuidance only, not with Apple Inc. (“Apple”). TraceGuidance, not Apple, is solely responsible for the Apps and their content, except as expressly provided by Apple’s terms.
• Maintenance and support. TraceGuidance is solely responsible for providing any maintenance and support for the Apps. Apple has no obligation to furnish any maintenance or support services for the Apps.
• Warranty. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the Apps. If the App fails to conform to any applicable warranty that cannot be disclaimed, you may notify Apple, and Apple may refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are TraceGuidance’s sole responsibility (subject to the limitations in these Terms).
• Product claims. TraceGuidance, not Apple, is responsible for addressing any claims by you or any third party relating to the Apps or your possession and/or use of the Apps, including: (i) product liability claims; (ii) any claim that the Apps fail to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual property claims. In the event of any third-party claim that the Apps or your possession and use of the Apps infringe that third party’s intellectual property rights, TraceGuidance, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim, to the extent required by these Terms and applicable law.
• Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
• Contact for App questions. Questions, complaints, or claims regarding the Apps should be directed to TraceGuidance at [email protected] or https://traceg.com.

4. Accounts & Access

Some features may work without an account. If we offer accounts or cloud sync, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use at [email protected]. We may suspend or terminate access if we reasonably believe you have violated these Terms or if needed to protect the Services or other users.

5. Purchases, Subscriptions & Refunds

Paid Apps, in-app purchases, and subscriptions (if offered) are processed by Apple through the App Store. Pricing, billing, renewal, cancellation, and refunds for App Store transactions are governed by Apple’s terms and policies. We do not control Apple’s payment processing.

• Subscriptions. If a subscription is offered, it will auto-renew unless canceled at least 24 hours before the end of the current period (or as otherwise required by Apple). Manage or cancel subscriptions in your Apple ID account settings.
• Refunds. Refund requests for App Store purchases should generally be submitted to Apple. Where required by law, mandatory consumer refund rights still apply.
• Taxes. Prices may include or exclude taxes as shown by Apple at checkout.

6. Acceptable Use

You agree not to:

• Use the Services in violation of any law, range rule, or third-party right
• Use the Services while handling firearms in an unsafe manner or in any way that compromises safety
• Attempt to interfere with, disrupt, or reverse engineer the Services (except as allowed by law)
• Access the Services by automated means without our prior written permission
• Misrepresent your identity or affiliation, or misuse support channels
• Upload or transmit malware or harmful code
• Use the Services to develop a competing product by improper means, or scrape non-public content

7. User Content & Feedback

You retain ownership of training data and content you create in the Apps (“User Content”), subject to the license needed for us to operate the Services (store, process, display, and backup User Content as you direct through the Apps). If you send feedback or ideas, you grant TraceGuidance a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

8. Intellectual Property

The Services, including software, design, text, graphics, logos, and trademarks, are owned by TraceGuidance or its licensors and are protected by intellectual property laws. Except for the limited license in these Terms, no rights are granted to you. “TraceGuidance,” product names (Steady, Wrist, Recoil), and related marks are trademarks of TraceGuidance. Apple, App Store, Apple Watch, iPhone, and related marks are trademarks of Apple Inc.

9. Third-Party Services

The Services may interoperate with third-party platforms (including Apple services). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR THAT SENSOR OR TIMING DATA WILL MEET YOUR EXPECTATIONS OR COMPETITION RULES. TRAINING METRICS ARE ESTIMATES BASED ON DEVICE SENSORS AND ALGORITHMS AND MAY CONTAIN INACCURACIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACEGUIDANCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TRACEGUIDANCE (OR VIA THE APP STORE FOR THE RELEVANT APP) IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including for death or personal injury caused by negligence where such exclusion is prohibited).

You acknowledge that firearm use involves inherent risks. You assume all risk of injury arising from unsafe firearm handling or failure to follow range and legal requirements. The Apps are not a substitute for training, coaching, or safe practices.

12. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless TraceGuidance and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time by deleting the Apps and discontinuing use of the Site. We may suspend or terminate your access to the Services at any time if you violate these Terms, if required by law, or if we discontinue the Services. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, and dispute terms) will survive termination.

14. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. We will post updated Terms at https://traceg.com/legal/terms-of-services and update the “Last updated” date. Material changes may also be communicated in-app or by other reasonable means. If you continue to use the Services after changes become effective, you accept the revised Terms. If you do not agree, stop using the Services.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except where mandatory consumer protection laws of your country of residence require otherwise. Subject to those mandatory laws, exclusive venue for disputes will be the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing prevents either party from seeking injunctive relief in any court of competent jurisdiction.

16. Export & Sanctions Compliance

You must comply with all applicable export control and sanctions laws. You may not use or export the Apps in violation of U.S. law or other applicable law.

17. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms presented for a specific feature, are the entire agreement between you and TraceGuidance regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
